Continuing Personal Guaranty

As an inducement to Park Avenue Building and Roofing Supplies, LLC to grant credit, or assume a credit risk, from time to time, in respect of sales of goods, supplies or services made by Park Avenue Building and Roofing Supplies, LLC to Customer (identified above as the customer identified on page 1 of 2 submitting this Application for Credit, which entity is incorporated herein by reference), or in respect of any other type of transaction by which Park Avenue Building and Roofing Supplies, LLC may become the creditor of the Customer, the undersigned, hereinafter referred to as "Guarantors," do jointly, severally and unconditionally (and in the case of married individuals, as a community obligation) guarantee and promise to promptly pay when due, or upon demand thereafter, without deduction for any claim of setoff or counterclaim of the Customer or loss of contribution from any co-guarantor, or any other defense, the full amount of all obligations or indebtedness due to Park Avenue Building and Roofing Supplies, LLC from the Customer, including interest or late payment charges, whether originating in transactions between Park Avenue Building and Roofing Supplies, LLC and the Customer, or assigned to Park Avenue Building and Roofing Supplies, LLC, together with all expenses of collection and/or reasonable attorney's fees (in-house or otherwise) incurred by Park Avenue Building and Roofing Supplies, LLC by reason of default of the Customer or the enforcement of this Guaranty by Park Avenue Building and Roofing Supplies, LLC.

This is a continuing guaranty, and shall be revocable only as to transactions entered into by Park Avenue Building and Roofing Supplies, LLC subsequent to the receipt by one of Park Avenue Building and Roofing Supplies, LLC officers of notice of termination sent by the Guarantors by registered or certified mail. The Guarantors (i) waive notice of all defaults or disputes with the Customer, and of the settlement or adjustment of such defaults or disputes, and (ii) consent to and waive notice of all extensions, modifications, alterations or assignments of the indebtedness of the Customer, none of which shall in any manner release or discharge Guarantors.

The obligation of the Guarantors is primary and unconditional obligation, and covers all existing and future indebtedness of the Customer to Park Avenue Building and Roofing Supplies, LLC. This obligation shall be enforceable before or after proceeding against the Customer or against any security held by Park Avenue Building and Roofing Supplies, LLC, and shall be effective regardless of the solvency or insolvency of the Customer at any time, or the subsequent incorporation, reorganization, merger, or consolidation of the Customer or any other change in the composition, nature, personnel, or location of the Customer.

This guaranty shall for all purposes be deemed to be made in, and shall be governed by, the laws of the State of New York. This guaranty shall be binding upon the undersigned, their respective legal representatives, and assigns, and shall inure to Park Avenue Building and Roofing Supplies, LLC's benefit and to the benefit of Park Avenue Building and Roofing Supplies, LLC's successors and assigns.

The Guarantors, recognizing that his or her individual credit history may be a factor in the evaluation of accepting this guaranty, hereby consents to and authorizes Park Avenue Building and Roofing Supplies, LLC to obtain and use any and all information related to the credit evaluation process, including but not limited to, the Guarantor's consumer credit reports.

The Guarantors agree to subordinate any indebtedness of the Customer to the Guarantors, to the indebtedness of the Customer to Park Avenue Building and Roofing Supplies, LLC; any such indebtedness of the Guarantor shall, if Park Avenue Building and Roofing Supplies, LLC shall so request, be held in trust by the Guarantors and be paid over to Park Avenue Building and Roofing Supplies, LLC, but without reducing or affecting in any manner, the liability of the Guarantors under this Guaranty.

Credit Terms and Conditions

Credit Terms: NET 30 DAYS

Late Payment Charges: Invoices not paid within 30 days are subject to a 1-1/2% carrying charge.

Default Provisions: In the event of default, customer agrees to pay Park Avenue Building & Roofing Supplies, LLC the amount past due, service carrying charges (if any), plus attorney and/or collection costs incurred.

Certification and Warranties: Customer hereby certifies that all statements made by it in this application/agreement are true and correct and made for the purpose of obtaining credit. Customer understands that Park Avenue Building & Roofing Supplies, LLC will be relying on the foregoing information in determining whether to extend credit to Customer and/or continue to extend credit.

Agreement and Legal Advice: By signing this application/agreement, customer agrees to all of the above provisions and represents and warrants to Park Avenue Building and Roofing Supplies, LLC that it has carefully reviewed this entire form (including the continuing personal guaranty) and has been advised and had the opportunity to seek independent legal advice in connection herewith.
